[Videogames] Zhengtu Online, The Original Sinner of free-to-play gaming and lootboxes
Hi everyone, this is my first contribution to HobbyDrama, I hope this is an entertaining read and also to the community's standards. Let's go!! Brief glossary before we begin (and some foreshadowing) MMORPG: massively multiplayer online role-playing game, MMO for short. A videogame genre that generally invites hundreds, or up to thousands, of players to share a space. Depending on the game, anything from general adventure to large-scale war to economy and politics can be simulated. I find it hard to believe that anyone reading this could possibly not know what this is but it's included anyway. Electro-convulsive therapy: ECT for short, it is a form of treatment where electrodes are "carefully" hooked up to a person's head and a "precise" level of electric shock is delivered, in order to treat major psychiatric disorders. Developed in 1938 when most psychiatric treatments was in their infancy, it is still used today occasionally for serious cases of depression, mania, or psychoses. In its early days however, there were widespread claims of abuse associated with its use. Pt1: The Root of all that is bullshit Zhengtu Online (hereafter referred to as ZT) was an immensely popular MMORPG that was developed in China and primarily served a Chinese playerbase. Released in 2006, at its peak it boasted more 2 million players, which while not particularly impressive relative to World of Warcraft (8mil worldwide at the same time), was a truly insane amount of success in a gaming scene that was very much in its embryonic stage. The game itself was an unimpressive Diablo-style top down fantasy setting, and its gameplay loop primarily revolved around improving your ability to kill various things, but what made it special was the overarching metagame: every player population (sharing a server) was divided into 10 kingdoms. Kings and generals were all individual players, and they dictated politics to their neighbors--primarily in the form of initiating player-vs-player (or PVP) warfare. Most contemporary MMOs had an upfront price plus a monthly subscription fee. In China, such pricing models were mostly replaced by paying oney for a set amount of ingame playing time. Unlike all of them, ZT was completely free to play (F2P). Free to play, however, meant pay-to-win: the best weapons and armor, and even leveling up your character, needed you to pay real money. Since so much of the game was focused on PVP, it also created an eternal arms race between players, each paying for the privilege of not being evaporated by a high level enemy. The way they did this was unique at the time. While F2P online games had already seen their rise in South Korea, equipment was generally priced explicitly via in-game currency and bought in virtual shops. ZT fused this with the sweet, sweet taste of gambling: gear in the game was primarily obtained in loot boxes, and you had to pay for keys to open them. It needs to be emphasized that gambling of any kind was illegal in China, but, in an eerie parallel of American CEOS in the future, ZT's developers said it wasn't gambling because, well, you weren't getting your money back. By combining this with multiple other exploitative practices, such as providing a small amount of premium currency like a casino giving you a free bet on the house, or awarding special items to the player with the highest number of lootboxes opened in a day, ZT was making money like taking candy from a candy-hating baby, and made gaming history. As far as what this means for gamers, this was Eve giving Adam the apple, Oppenhemier splitting the atom, Prometheus stealing fire, Caesar crossing the Rubicon, and goddamn Helen Keller signing "water". If you play any kind of videogames today, you've stepped through the long shadow that ZT had cast. Zynga (developers of Farmville) would be founded in 2007 and focused exclusively on free games with real-money integration. Lootboxes made it into Team Fortress 2 in 2010, one of the first major western-developed games to include them. Similar mechanics (with varying degrees of exploitative practices) came to FIFA in 2010, Mass Effect 3 in 2012, Counter-Strike in 2013, League of Legends in 2016, and NBA 2K in 2017, infecting every genre of gaming under the sun, including the most popular MMO, World of Warcraft. As an aside, corporate defense of lootboxes in Star Wars Battlefront II also led to the most downvoted Reddit comment of all time. Finally someone speaks out The System, an article published in the Chinese newspaper Southern Weekly in 2007, was a hard-hitting expose on the exploitive practices of ZT. It chronicled the rise and fall of a gamer who accidentally becomes the monarch of one of these in-game Kingdoms, her addiction to the game, and final disillusionment when she realized that in-game player behaviour was being explicitly manipulated by its designers for the purpose of creating addicts and selling more lootbox keys. The whole article is worth a read, even if it is sensationalist in a way that immediately tells you the writer was clearly a failed novelist of some kind - describing virtual destruction with the kind of prose most people would consider and then discard for a gang rape, for starters. But it had gotten its point across. It created an explosive backlash against the game in China, and was even translated into English and propagated across gaming forums. The fallout In an act of censorship usually reserved for the CCP government, this article--including its English translation--began to be scrubbed from the internet, with speculation pointing to the immensely powerful CEO behind ZT. I mean, who else could it be, right? This article would light the fire of China's first moral panic regarding videogames. In its wake, swift legislation would be enacted regarding internet gaming addiction as well as online proxy gambling. ZT would heed the new laws and remove its lootbox mechanics in the following years and many other similar games followed suit. Most tragically, the panic (which, to be fair, was fueled by a very real problem) allowed unscrupulous characters such as Yang Yongxin, vice chairman of a hospital in Shandong province, to create "internet addiction centres". With its legitimacy established by a docuseries ("Fighting the Internet Monster") on the state-run television channel CCTV, these centres charged terrified parents exorbitant prices in order to keep teens by force in, essentially, private hospitals and asylums, subjecting them to inhumane conditions and abusive ECT in order to "cure" them of their disease. It was estimated that Yang earned the equivalent of more than $6million USD from his addiction centre in the short space of 2 years. While his centre was eventually closed by state order, he received no punishment of any kind. As for ZT, it limped on until 2018. A mobile game reboot was made in 2015. A tie-in fantasy movie was released in 2020. it was not very good. ~~~~~~ Addendum: how we got here: Of Mice and levers In the 1950s, an American scientist named BF Skinner discovered the following: when mouse is put in a box with a small lever that, when pressed, dispenses a food pellet, they will quickly learn to start pressing on the lever as fast as possible. If you then stop the food from dispensing, the mouse will lose interest quickly after pressing a few times and seeing no food coming out. If, however, you hooked up the lever to dispense food at random intervals, the mouse will be practically glued to the lever and hammer on it nonstop, sometimes long after they become full, and long after any food has been dispensed. This discovery, known as variable outcome operant conditioning, formed the foundation of our understanding of addiction and gambling. Skinner would go on to try and fail to make bombs guided by pigeons, but we're not interested in that here. His research tool--the Skinner Box--would become a descriptor you may have come across when discussing exploitive game mechanics. Summary Once upon a time, a game combined the random outcome of videogaming with real-money gambling. This has made a lot of people very angry and been widely regarded as a bad move.

I avoided Vegas for all of 2020, not because I have any fears whatsoever regarding COVID, but simply because I felt that it was just going to be depressing and annoying combatting the virus hysteria. (Following the Vegas sub didn't help, as those folks pounce on anyone considering visiting as being selfish, despite tourism being the town's only export.) I was pleasantly surprised that the Strip wasn't as post-apocalyptic as I was expecting. There still appear to be plenty of people visiting... the crowds weren't as thick as they normally would be, which some would say is a plus, but there also wasn't a dearth of people, either. I was comped at both Caesars and MLife, so I booked at both. I stayed at the Paris and stuck my friend at the Grand. FWIW, the $20 trick worked at Paris (I figured it was an especially good play when the staff's income has taken a hit), and I was upgraded to a corner suite overlooking the Bellagio Fountains. Onto the craps play... Sunday through MLK at noon, we failed to find anything below $15. I submitted my edits to the minimums spreadsheet that is stickied here. Oddly, Linq and Park MGM just did not open any tables at all... I'm not sure what the rationale is for that. We decided to stick mostly with Caesars properties, as they don't have Plexiglas dividers at the tables. All MGM properties have these, and it makes the casino look like a house of mirrors. I had brought a $1k bankroll, but bought in for $300 each time...I tend to be very frugal, even while gambling. My strategy was to play the pass line, place the 6/8 for $12 each, and take 1x odds for 4/6/8/10. (I hate taking odds on 5/9.) After a place number hit 3 times, I would press on the 4th hit. That was usually a great way for the next roll to be an SO. MLK afternoon at Paris I did "OK," but the recently lowered $10 minimum was raised back to $15 again. This depleted my bankroll faster than I expected, but I guess it makes sense, as my strategy went from costing me $44 to $66 per swing. There were a lot of PSOs, too. For reasons I can't understand, my friend and I could never get a good roll going, but there were two shooters at our table that we knew we could count on for recovery. I don't know how that is - the dice are the dice - but these two guys could always go on heaters for a long time. The dice would be passed to us, and after a few 2s and 3s, we'd PSO. After some ups and downs, I finally walked away with $250. MLK evening, after some Beef Wellington at Gordon Ramsay Steak, the table was back to $10 again, and had no players, so my friend and I opened it. As with the above, our rolls were miserable. PSO after PSO. Other players would come and go, seeing how bad the game was going. I tried to switch to the DP when my friend rolled ("nothing personal"), and then he'd magically start making points. It was awful. I finally got down to my last $10, and bet the line with him, and he caught his second wind. Gradually brought me back to $292, and we colored up at 1am. Although Paris doesn't have table dividers, they insisted on sanitizing the dice between shooters. Even when it was just my buddy and I, and I said we were in the same party, it wasn't necessary, they responded "well, it's for our safety." I bought that for a few minutes until I realized they hardly touch the dice, yet they don't mind grabbing everybody's chips that are getting intermixed with different people's germs.... whatever, it's all stupid theatre. Tuesday afternoon, my friend headed back to Phoenix and I was waiting for a late flight. I stumbled upon a $10 table at Aria, and since it was just me, I decided to deal with the Plexiglas (which turned out to be wildly ineffective when I could still fist bump and talk to the player immediately left-of-stick from my catty-corner of the table, 3 feet away). My bad luck shooting dissipated. I hit several good rolls, and since it was my last day, I decided to loosen the wallet a bit, and would go up to 3x odds, particularly on 4s and 10s since they pay 2:1. I would also press 6s and 8s, which I had a real affinity for hitting, earlier than customary for me. (This probably still sounds like low rolling to many of you, but it's a big step for me!) I ended up more than doubling my buy-in, negating my losses from the other two sessions and putting me up slightly on the trip. MGM has two sets of dice they can rotate between, and one goes in a golf ball washer while the other is in play. This seemed a lot smarter and didn't affect the game's momentum as much as Paris did, scrubbing them down with a ratty cheesecloth and diluted Clorox. I still had 4 hours until my flight, which was bittersweet, but I'm glad I colored up when I got off of a good high shooting. It felt good, actually, that other players were disappointed that I was leaving, because I was making them some good money, but it was time for me to step back and enjoy my winnings. I bought my kiddo a T-shirt at the ABC store, waited an hour for the Centennial Express (told you I was frugal), and sat in The Club LAS until my flight boarded. Both MGM and Caesars sent me e-mails asking me to book another complimentary trip before either room's folio arrived. I'm considering it.

Mr. Chhabra’s M&A experience is extensive and covers multiple global geographies across the digital gaming value chain and includes the following: • TSG/Flutter Entertainment Merger: In 2019, Mr. Chhabra led the TSG M&A team that was responsible for TSG’s $12.2 billion merger with Flutter Entertainment (LSE: FLTR). The merger between TSG and Flutter Entertainment is the largest transaction in the digital gaming industry to date. The combination created the largest publicly listed online gaming company with approximately 13 million active customers and leading product offerings, which include sports betting, online casino, fantasy sports and poker. The combined entity includes some of the world’s most iconic digital gaming brands such as Fanduel, Fox Bet, Sky Bet, PaddyPower, Betfair, PokerStars and SportsBet. TSG/Flutter Entertainment is one of the most geographically diverse digital gaming and media companies with leading positions in the United States, United Kingdom, Australia, Ireland, Italy, Spain, Germany and Georgia. • TSG/Sky Betting and Gaming (“SBG”): In 2018, Mr. Chhabra led the acquisition of SBG from CVC Capital Partners and Sky plc, Europe’s largest media company, in a transaction valued at $4.7 billion. At the time of the acquisition SBG was the largest mobile gambling operator in the United Kingdom and one of the fastest growing of the major operators having doubled its online market share in three years. The acquisition of SBG provided TSG with (a) greater revenue diversification, significantly enhanced expertise and exposure to sports betting just ahead of the judicial overturn of The Professional and Amateur Sports Protection Act of 1992 (PASPA) by the U.S. Supreme Court, (b) a leading position within the United Kingdom, the world’s largest regulated online gaming market, (c) improved products and technology as a result of the addition of SBG’s innovative casino and sports book offerings and a portfolio of popular mobile apps, and (d) expertise in deeply integrating sports betting with leading sports media companies, positioning TSG to create more engaging content, deliver faster growth and decrease customer acquisition costs. • William Hill (LSE: WMH): At William Hill, from 2010 to 2017, Mr. Chhabra served as Group Director of Strategy and Corporate Development where he led several transactions which contributed to William Hill’s transformation from a land-based gambling operator in the United Kingdom to a leading online-led international business. Mr. Chhabra led William Hill’s entry into the U.S. sports betting and online lottery markets with the acquisition of four businesses, including the simultaneous acquisitions of three U.S. sportsbooks, Cal Neva, American Wagering and Brandywine Bookmaking, in 2011 for an aggregate purchase price of $55 million. These businesses ultimately led William Hill to achieve a leading position in the U.S. sports betting market with a market share of 24% in 2019. Additionally, Mr. Chhabra played a key role in structuring William Hill’s successful joint venture with PlayTech Plc (LSE: PTEC) in 2008. The combined entity created one of the largest online gambling businesses in Europe at the time of its formation and led to William Hill’s buyout of Playtech’s interest for $637 million in 2013. Prior to the transaction, William Hill had struggled in its attempt to establish a strong online gaming platform and a meaningful presence outside the United Kingdom. Mr. Chhabra has also successfully completed four transactions worth over $1.2 billion in Australia, the world’s second largest regulated online gambling market, and various partnerships in Asia. Additionally, he completed several technology and media related transactions, including William Hill’s investment in NYX, where he worked with Mr. Davey on NYX’s transformational acquisition of OpenBet. Prior to working in the gaming sector, Mr. Chhabra was an equities analyst and a management consultant. Mr. Chhabra received a Bachelor of Science in Economics from the London School of Economics and Political Science. Eric Matejevich — Chief Financial Officer Mr. Matejevich is a seasoned gaming executive with extensive experience in both the online gaming and traditional casino industries. From February to August 2019, he served as Trustee and Interim-Chief Executive Officer of Ocean Casino Resort (“Ocean”) (formerly Revel Casino, which had a construction cost of $2.4 billion) in Atlantic City, where he successfully led the management team through an ownership change and operational turnaround effort. Over the course of seven months, Mr. Matejevich managed to reduce the property’s weekly cash burn of $1.5 million to an annualized cash flow run rate in excess of $20 million. Prior to Ocean, from 2016 to 2018, Mr. Matejevich served as the Chief Financial Officer of NYX. At NYX, he focused his efforts on integrating the company’s many acquisitions and multiple debt refinancings to simplify its capital structure and provided liquidity for growth initiatives. Additionally, Mr. Matejevich was instrumental to the executive team that sold NYX to Scientific Games for $631 million. Prior to NYX, from 2004 to 2014, Mr. Matejevich was the Chief Financial Officer of Resorts International Holdings and later, from 2011, also the Chief Operating Officer of the Atlantic Club Casino, a property under the Resorts International Holdings umbrella — a Colony Capital (NYSE: CLNY) entity. As Chief Financial Officer, he provided managerial oversight for all finance functions for a six-property casino company with annual gaming revenue exceeding $1.3 billion, 10,000 gaming positions, 7,000 hotel rooms and over 11,000 staff members during his tenure. Mr. Matejevich led the transition effort to integrate a four-casino, $1.3 billion acquisition from Harrah’s Entertainment and Caesars Entertainment (Nasdaq: CZR). As Chief Operating Officer of Atlantic Club, he lobbied for and was successful in obtaining the first internet gaming legislation passed in the United States. The Atlantic Club was the sole New Jersey casino proponent of the legislation. Prior to serving in various gaming positions, Mr. Matejevich was a Vice President of High Yield Research for Merrill Lynch, where he managed the corporate bond research effort for the gaming and leisure sectors and marketed high yield and other debt transactions totaling $4.8 billion. Mr. Matejevich received a Bachelor of Science in Economics from The Wharton School and a Bachelor of Arts in International Relations from The College of Arts and Sciences at the University of Pennsylvania. Our Board of Directors Morris Bailey — Chairman Over the past 10 years, Mr. Bailey has been a leader in turning around Atlantic City, as well as being among the first gaming executives to embrace online gaming and sports betting in the United States. In his efforts, Mr. Bailey partnered with two of the largest digital gaming companies in the world, PokerStars, part of the Stars Group, and DraftKings (Nasdaq: DKNG). In 2010, Mr. Bailey bought Resorts Atlantic City (“Resorts”) and initiated a comprehensive renovation which allowed for the property to be rebranded and repositioned. In 2012, Mr. Bailey signed an agreement with Mohegan Sun to manage the day-to-day operations of the casino. In addition to Mohegan Sun’s operational expertise and ability to reduce costs via economies of scale, Resorts gained access to their robust customer database. Soon thereafter, Mr. Bailey and his team focused on bringing online gaming to the property. In 2015, Resorts established a platform to engage in online gaming by partnering with PokerStars, now part of the $24 billion Flutter Entertainment, PLC (LSE: FLTR), to operate an online poker room in Atlantic City. In 2018, Resorts announced deals with DraftKings and SBTech to open a sportsbook on-property and online. For 2020 year-to-date, Resorts has performed in the top quartile in internet gross gaming revenue in New Jersey. Mr. Bailey’s efforts in New Jersey helped set the framework for expansion of online sports and gaming throughout the United States. In addition to his gaming interests, Mr. Bailey has over 50 years of experience in all facets of real estate development, asset M&A, capital markets and operations and is the founder, Chief Executive Officer and Principal of JEMB Realty, a leading real estate development, investment and management organization. Mr. Bailey has notable investment experience within the energy, finance and telecommunications sectors through investments in the Astoria Energy Plant, Basis Investment Group and Xentris Wireless. Tony Rodio — Director Nominee Mr. Rodio has nearly four decades of experience in the gaming industry. Most recently, Mr. Rodio served as the Chief Executive Officer and director of Caesars Entertainment Corporation (“Caesars”) (Nasdaq: CZR), one of the world’s most diversified casino-entertainment providers and the most geographically diverse U.S. casino-entertainment company, from April 2019 until its acquisition by Eldorado Resorts, Inc. in July 2020. Mr. Rodio led Caesars through its $17.3 billion merger with Eldorado Resorts, one of the largest transactions in the gaming industry to date. Additionally, Mr. Rodio was instrumental to Caesars’ expansion into the digital gaming industry and oversaw the implementation of new digital segments such as its Scientific Games powered retail sportsbook solution that now operates in various states throughout the U.S. From October 2018 to May 2019, Mr. Rodio served as Chief Executive Officer of Affinity Gaming. Prior to Affinity Gaming, he served as President, Chief Executive Officer and a director of Tropicana Entertainment, Inc. (“Tropicana”) for over seven years, where he was responsible for the operation of eight casino properties in seven different jurisdictions. During his time at Tropicana, Mr. Rodio oversaw a period of unprecedented growth at the company, improving overall financial results with net revenue that increased more than 50% driven by both operational improvements and expansion across regional markets. Mr. Rodio led major capital projects, including the complete renovation of Tropicana Atlantic City and Tropicana’s move to land-based operations in Evansville, Indiana. Each of these initiatives, among others, generated substantial value for Tropicana. Ultimately, Mr. Rodio’s efforts at Tropicana led to its sale to Eldorado Resorts in 2018 for $1.85 billion. Prior to Tropicana, Mr. Rodio held a succession of executive positions in Atlantic City for casino brands, including Trump Marina Hotel Casino, Harrah’s Entertainment (predecessor to Caesars), the Atlantic City Hilton Casino Resort and Penn National Gaming. He has also served as a director of several professional and charitable organizations, including Atlantic City Alliance, United Way of Atlantic County, the Casino Associations of New Jersey and Indiana, AtlantiCare Charitable Foundation and the Lloyd D. Levenson Institute of Gaming Hospitality & Tourism. Mr. Rodio brings extensive knowledge of and experience in the gaming industry, operational expertise, and a demonstrated ability to effectively design and implement company strategy. Mr. Rodio received a Bachelor of Science from Rider University and a Master of Business Administration from Monmouth University. Marlon Goldstein — Director Nominee Mr. Goldstein is a licensed attorney with nearly 20 years of experience in the gaming space. He joined The Stars Group (Nasdaq: TSG)(TSX: TSGI) in January 2014 as its Executive Vice-President, Chief Legal Officer and Secretary until his retirement from the company in July 2020 following the merger of TSG with Flutter Entertainment, PLC (LSE: FLTR). Mr. Goldstein also previously served as the Executive Vice-President, Corporate Development and General Counsel of TSG. Mr. Goldstein was also the senior TSG executive based in the United States and was one of the primary architects of TSG’s strategic vision for its U.S.-facing business. During his tenure, TSG grew from an approximately $500 million market-cap company to an approximately $7 billion market-cap company through a combination of organic growth and strategic mergers and acquisitions. Mr. Goldstein participated in numerous M&A transactions and capital markets offerings at TSG, including several transformational transactions in the digital gaming industry. Mr. Goldstein brings experience and insight that we believe will be valuable to a potential initial business combination target business. Sean Ryan — Director Nominee Mr. Ryan is a digital media and technology operator with extensive global experience in online payments, e-commerce, marketplaces, mobile ad networks, digital games, enterprise collaboration platforms, blockchain, real money gaming and online music. Since 2014, Mr. Ryan has been serving as Vice President of Business Platform Partnerships at Facebook, Inc. (“Facebook”) (Nasdaq: FB), where he leads a more than 500 person global organization that manages the Payments, Commerce, Novi/Blockhain, Workplace and Audience Network businesses. Prior to his current role, Mr. Ryan was hired in 2011 as the Director of Games Partnerships to lead and grow the global Games business at Facebook. While the Director of Games Partnerships, Mr. Ryan focused on re-shaping Facebook’s games and monetization strategies to derive more value for Facebook, its users and its partners, including the addition of a Real Money Gaming offering in regulated markets. Mr. Ryan’s team helped accelerate a major trend in engagement through cross-platform games and therefore the opportunity to increase users through establishing games on multiple platforms. Prior to joining Facebook, Mr. Ryan created the new social and mobile games division at News Corp, an American multinational mass media corporation controlled by Rupert Murdoch. While at News Corp, Mr. Ryan led the acquisition of Making Fun, a San Francisco social-game start-up, that created News Corp’s games publishing division. Before joining News Corp., Mr. Ryan founded multiple digital businesses such as Twofish, Meez, Open Wager and SingShot Media. Mr. Ryan co-founded Twofish in 2009, a virtual goods and services platform that provided developers with data analytics and insights for individual application’s digital economies. Twofish was later sold to online payments provider Live Gamer, where Mr. Ryan served on the board of directors. From 2005 to 2008, Mr. Ryan founded and led Meez.com, a social entertainment service combining avatars, web games and virtual worlds. The white label social casino gaming company Open Wager was spun out of Meez and was later sold to VGW Holdings, Mr. Ryan also co-founded SingShot Media, an online karaoke community, which was sold to Electronic Arts (Nasdaq: EA) and merged into its Sims division. We believe Mr. Ryan’s experience will be valuable to a potential initial business combination target and would provide an expanded perspective on the digital gaming landscape. Mr. Ryan received a Bachelor of Arts from Columbia University and a Master of Business Administration from the University of California, Los Angeles. Tom Roche — Director Nominee Mr. Roche has more than 40 years of experience in the gaming industry as a regulator, advisor and independent auditor. Mr. Roche joined Ernst & Young (“EY”) as a partner in 2003 and opened its Las Vegas office. He was subsequently appointed as the Office Managing Partner and Global Gaming Industry Market Leader. In 2016, Mr. Roche relocated to the EY Hong Kong office to supervise the expansion of the EY Global Gaming Industry practice in the Asia Pacific region. Mr. Roche has been integral to numerous transactions that have shaped the current gaming landscape, including: • Wynn Resorts (Nasdaq: WYNN) initial public offering: Mr. Roche was the lead partner on Wynn Resort’s initial public offering, which raised $450 million in 2002. • Harrah’s Entertainment/Apollo Management Group & Texas Pacific Group: Mr. Roche headed the regulatory advisory services on the buyout of Harrah’s Entertainment, the world’s largest casino company at the time, for $17.1 billion. • Dubai World/MGM Resorts: Mr. Roche headed the regulatory and due diligence advisory services to Dubai World in its approximately $5.1 billion investment in MGM. Dubai World bought 28.4 million MGM shares, or 9.5 percent of the casino operator, for $2.4 billion. It then invested $2.7 billion to acquire a 50% stake in MGM’s CityCenter Project, a $7.4 billion 76-acre Las Vegas development of hotels, condos and retail outlets. • MGM Growth Properties (NYSE: MGP) initial public offering: Mr. Roche provided tax and structural transaction services to MGM Resorts in the creation of MGM Growth Properties, a publicly traded REIT engaged in the acquisition, ownership and leasing of large-scale destination entertainment and leisure resorts. MGM Growth Properties raised $1.05 billion in its 2016 initial public offering. Mr. Roche also directed EY advisory services to boards and management teams for profit improvement and technology related initiatives. In addition, Mr. Roche provided advisory support to the American Gaming Association on several research projects, including those specifically related to sports betting, the revocation of The Professional and Amateur Sports Protection Act of 1992 (PASPA) and anti-money laundering best practices in the gaming industry. Equally, he has assisted government agencies in numerous international locations with enhancing their regulatory approach to governing the industry especially in the online gambling sector. Prior to joining Ernst & Young, Mr. Roche served as Deloitte’s National Gaming Industry Leader and as the co-head of Andersen’s Gaming Industry Practice in Las Vegas. In 1989, Mr. Roche was appointed by then Governor of the State of Nevada, Robert Miller, to serve as one of three members of the Nevada State Gaming Control Board for a four-year term, where he was directly responsible for the Audit and New Games Lab Divisions. As a board member, he spent a substantial amount of time assisting global jurisdiction regulators enact gaming legislation in the design of their regulatory structure. During his career, Roche has been involved in numerous public and private offerings of equity and debt securities. His background includes providing casino regulatory consulting services to casino licensees and to federal and state agencies including the National Indian Gaming Commission and the Nevada State Gaming Control Board, and industry associations such as the Nevada Resort Association and the American Gaming Association. We believe Mr. Roche’s highly regarded reputation as a gaming auditor and advisor in the gaming industry will be valuable for us and a potential business combination target. Mr. Roche is a member of the American Institute of Certified Public Accountants and is licensed by the Nevada State Board of Accountancy and Mississippi State Board of Public Accountancy. High all! I really recently fell in love with the Fallout Universe, with all its complexities and unique stories. In particular, I very much enjoy the subjectivity of interpretations of the games and their outcomes, and I wanted to create my own personal contribution by writing a story specifically set after the Second Battle of Hoover Dam. The Courier is referenced once in passing and there's no mention of a next of kin for the Courier. The story is completely original with entirely unique characters that I've made and it takes place after a non-specific timeline in which Mr House wins the fight for the Mojave Desert. I wanted to share some of my work with my fellow Fallout fans and see what you think. I sincerely hope you enjoy it. Beginning: After the guns fell silent during the Second Battle of Hoover Dam, the world was forever changed. Mr House’s City State of New Vegas gained full sovereignty and control over the Mojave Desert, and his Securitron Army pushed the exhausted NCR and broken Legion out. In the following years, Mr House rapidly expanded the city of New Vegas, and reignited the production of old Pre-War Technology automobiles, bus lines, and a high speed train line appeared. The Strip itself expanded beyond the Three Families; Strip clubs, pubs, casinos, all you can eat buffets filling the area, with some residential apartments and houses now beginning to be sold to the highest bidder, just as it was in the old world. The expanded city of Vegas outside the Strip itself however is a slum, crime, inequality, and denigration is all but abundant, and unrest is growing. Following the removal of President Kimball, his Vice President Donald Watson took over and inherited a State in crisis. Faith in the government had rapidly deteriorated, and the economy of the NCR began to suffer as many relocated to the Strip to live a life of luxury and excess. The NCR is now a shadow of its former self, with Military Police now required to keep order on the streets of its towns and cities. The poverty level is rising. In the East, Caesar’s Legion too is changing, and not for the better. With the Western Campaign a failure by all accounts, resources dwindling, questions about the strength of their Leader Caesar are cropping up in the minds of those closest to him. By 2295, the pieces had fallen into place. The fate of these States and the people who uphold them is uncertain. One thing is for sure. Whatever happens, the Wasteland will be changed unlike it has ever been before. ‘I appreciate your respectful and restrained response to my contact. It is a pleasure to interact with the less agitated members of your State.’ Aminta barely heard Mr House, and instead stared out the windows of the Lucky 38. The skyline of the Strip extended seemingly forever, pushing away the surrounding darkness with neon light. Just beyond the city outskirts, the silhouette of Mr House’s newly created Launch Pad. It was one of five, and she could just see the other four, each slightly further away from the city than the last. She scrutinised them, and was struck by the boundless possibilities of such technology; the opportunities provided. How exciting it would be! Mr House’s voice then cracked her thoughts and brought back to the present. She listened, without comment. ‘Roughly 18 hours ago, a team of five extraordinarily skilled individuals ascended Hoover Dam from the base of the structure,’ The ostentatiously large screen in which Mr House’s face sat suddenly changed to show grainy footage. ‘This was captured by one of our cameras on the perimeter of the dam. I apologise for the bad quality, it has been surprisingly difficult obtaining improved camera lenses, and As you can see, they used some kind of Grapnel Launcher and ascended via the rope.’ On the screen, it was possible to just make out five distinct figures at the base of the dam. They were clearly dressed in dark clothing, though the quality was too poor and the camera was too far away to make out any of the fine details of the material. Aminta scrutinised the footage, watching intently as the five figures used an oblong object, reminiscent of a hunting rifle to fire a rope, or cord up the side of the dam; high enough to catch the top. The operator of the device then disconnected it from the gun, and pressed it into the ground. It appeared to stick. They then ascended the rope. The camera feed then cut to show three of the attackers subdue and restrain two security guards. Due to the light, it was clear that the clothing the criminals were wearing was Recon Armor, though there were no insignia or identifiable characteristics. The two men were then held down by two and clubbed across the face by the third member with the butt of a 10mm pistol. He then turned to the computer and retrieved something from his pocket. Then the screen went black. ‘At this point, at roughly 1:27 am a Trojan was fitted onto the system. It temporarily disabled all the security cameras in the sector. It was one of the strongest Trojans I’ve ever come across, but I was able to get the system back up and running within 15 minutes. Unfortunately we cannot recover any footage from the corrupted data files that detail how the robbers escaped. I hope you can understand why I decided to contact you.’ Aminta pondered to herself. Why would Mr House, a man who controlled Rockets and owned and governed an entire city and it’s enterprises, would need to contact the New California Republic for assistance in a robbery? From where they were standing, he appeared to be in a position any high ranking NCR official would kill for. She didn’t say anything. There had to be more to this meeting than what Mr House was implying. She looked to her left, trying to be casual. Sitting next to her with an overexaggerated grave look on his face was Political Officer Neville Dawson, and next to him was Dennis Crocker, former Ambassador to the Strip. They too were quiet, their faces frustratingly hiding what they were thinking. Not sure where to look, Aminta turned back to the screen Mr House’s caricature face was on. She had to say something. ‘Mr House, why exactly do you think these people targeted Hoover Dam? There are many casinos and places full of money on the New Vegas Strip. Is there anything of massive value at Hoover Dam?’ ‘Well Chief Aminta Marr, no, ostensibly speaking, there is nothing there of real value to anyone, unless they have the ability to take and control the Dam and source it’s hydraulic generated electricity,’ ‘Then why would someone do this?’ Aminta said curtly. She tensed up, not meaning to sound dismissive. ‘Well Aminta, they did take one thing from what we've deduced,’ Mr House said, appearing to ignore her tone. ‘And what was that Mr House?’ Neville cut in. He was leaning forward, hands clasped tightly together. He was trying - and failing - to ease the tension in the room. ‘Well, before I contacted you Neville, and to answer your question Aminta, I ran through my storage records from 2285 to the present. I had Mr Harvey Shwarze, my ‘Representative in Government’ review them in paper form in our archives. Three things - completely inconsequential things mind you, were missing. Three Platinum Chips.’ ‘Three Platinum Chips?’ Neville said concertedly, as if he knew exactly what Mr House was talking about. ‘That’s right. It’s a data storage device, well it was a data storage device. Designed by me before the Great War of 2077. Perhaps once upon a time this would’ve been valuable to somebody, but after the Second Battle of Hoover Dam I had access to all kinds of ruined facilities all over the Mojave to reform to working order. I began reprinting hundreds of Platinum Chips which were variations of the original Platinum Chip. They continuously upgrade and encrypt my software to prevent any outside programmers from accessing my highly sensitive data. I have no idea what a group of hooligans would want with three. I can easily replace them, and since they’re only usable on my systems, well they would simply be useless.’ ‘Perhaps they wanted to sell them,’ Aminta proposed. It wasn’t impossible, she thought. People pay top dollar for things with perceived value, isn’t that the cardinal rule of the Strip? ‘To whom?’ Mr House replied. ‘The point still stands. I spent days and nights running statistical simulations for all possible scenarios in and formulated the best plans for countering every scenario I came across!’ ‘I guess my point is, I do not understand, in any capacity, why you, YOU of all people would need to call us for assistance in a matter that you - whether intentional or not - have spent the last fives minutes telling us it isn’t an issue.’ The room fell quiet. Aminta pulled her hands back from the table and into her lap, and looked down at them, pretending to be occupied analysing them. She had exposed the true, unspoken meaning of this meeting, and they all knew it. She bit her lip. Dennis wiped the sweat off his face. Neville breathed in deeply, as though he was going to speak. My Lieutenant after the battle was admittedly curt in regards to handling our relations, and since then it seems your economy is really struggling with extremely poor unemployment and satisfaction levels,’ Mr House paused. Neville looked at Aminta with a look of understanding, and regret but he didn’t say anything. Mr House was right. Of course he was right. ‘It just so happens that while it may look from the outset I’m doing well, with the occasional launch of one of my experimental rockets, crime in Greater New Vegas is extraordinarily high. To be clear, the Strip is not, but the extended city state with the newly constructed buildings - those areas are. I want to make a proposition for the mutual benefit of the NCR, and New Vegas. Securitrons don’t make the best police, and security guards are in short supply and are not equipped, in any sense, to be police. I also would like your help in tracking down the culprits of this robbery; that being an extension of the aforementioned policing stipulation. Such a breach of security cannot happen again. Neville Dawson, I’m willing to sign a treaty pertaining to these terms, or any terms the NCR may propose, unless of course it does mutually benefit both states.’ Aminta felt her twang strike her deep in her heart. For years, the NCR Police Force had been absorbed into the Military Police Unit, and they could barely contain black market dealings of Chems and military grade weaponry on the streets of NCR’s cities. They did not have the resources or power Mr House seemed to think they did. For nearly 3 years straight she had been bombarded with evidence of killings by her own subordinates, illegal incarcerations, and illicit behavior between colleagues within her own chain of command, with no power to rehabilitate or prosecute those involved. Meanwhile, those that had the money to escape fled to New Vegas, desperate to find a life of comfort. It was possible that through re-establishing trade and mutual respect with Mr House, they could rebuild the NCR’s respectability on the international and internal level. She found herself hoping the treaty would be signed. ‘This... is a huge proposition. I hope you can understand the overwhelming nature of what you’re telling us, it’ll take a bit for us to come to a conclusion.’ Neville exhaled, as though he had been holding it for the last minute. ‘I understand.’ Mr House responded. ‘Maybe I ask,’ Donnie piped up. ‘What specific kinds of technology will you provide to the NCR?’ Mr House ran down a checklist. ‘Vehicles. Remade pre-war cars. Excavation machines. Cement mixers. Would provide jobs and improve your infrastructure in the process, whilst also giving me business and improving the situation here. Mutually beneficial for both sides.’ ‘I see.’ Aminta struggled to contain her happiness. She had become a police officer to enforce safety and protect those who abide by the law. This was a way back to such operations, in which she could help those in need, rather than sit idly while their situation worsened. ‘I’ll also be willing to give 10% of the electricity produced by Hoover Dam to the NCR. It produces more than I need.’ Mr House offered. Dennis shifted his weight, and opened his mouth. It was a second before anything came out. ‘15% would be great, if possible.’ ‘Done.’ Mr House concluded. ‘Well, we’ll definitely have to confer this back to President Watson. As previously said by Mr Dawson, this is a huge offer.’ ‘I understand. Aminta, I can only hope you also support this.’ Aminta smiled. ‘I am willing to establish a NCR Police Force here in New Vegas, and assist in establishing prosperity and stability, for the benefit of both states.’ ‘Excellent. There was a perpetual sense of being watched, and listened to, and Aminta supposed they probably were. She sensed from the stiffness of Donnie and Neville’s postures they felt the same way. As the three left through the ground level of the building, the desolate casino indicated a time long past, preserved in pristine condition yet uncannily lifeless; inhabited only by robots. Aminta felt a shiver flow throughout her body, prompting her to hurry outside. Upon exiting, Aminta was greeted by the fantastic lighting she had seen from the Lucky 38. Buildings stretched high into the now night sky, perpetually lit up and calling for you to spend a few short hours in their luxurious suites and lose all the money you have without knowing it. She had visited the Strip a couple of times before the Second Battle of Hoover Dam. Back then, whilst still grand, its exterior walls felt cobbled-together, layered pieces of steel to preserve what glory the pre-war days had. Now, the Strip felt open, almost a complete return to complete pre-war glory, though there was no way of her knowing what such a time looked like. Polished, beetle like cars with extravagant interwoven pieces of silver and gold making up their hubcaps cluttered the road, filled with nicely dressed young women chattering incessantly. Boys, ranging from teenagers to old men stumbled around, drunk and happy, their legs falling beneath them as though they were wet noodles. To the left, the Ultra Luxe Casino hotel stood at the far end of the street, intoxicatingly ostentatious and alluring for any hoping to climb the social ladder, despite the many rumors of cannibalism attempting to tarnish the brand. The fountain outside the front sprayed sparkling water into the night air which caught the light of the strip and reflected it like the jewels the building it was in front of was embroidered in. However, Aminta was not taken by the hotel, and watched two NCR troopers, still in their military uniforms be forced to dance in front of a crowd of onlookers. They were pushed and shoved as they struggled to dance, their arms and legs barely keeping to any rhythm as they fell to the ground, vomiting a putrid yellow substance onto the asphalt. She looked away in disgust and embarrassment for the two men. A man in an expensive looking suit and bowtie greeted the three. Behind him stood a long polished black car. ‘Shall I take you to the crossing point?’ ‘Yes.’ Donnie answered. Aminta and Neville followed his lead. He had more experience on the Strip than the majority of the tourists around them. She started the car once they were all inside, the engine barely kicking as it began to drive. Aminta marvelled at its power, it’s sleekness, at the strength and confidence of its movement and the luxury of it’s exotic wood plated interior. The chauffeur drove to the large South Gate of the Strip, passing multitudinous buildings of similar grandeur and spectacle, all the same though uniquely different, until they all blurred into one mix of different colours and moving forms. The chauffeur leaned out of the side window, showed an identification pass to a Securitron, and the gate opened. Aminta’s car was the only car that left. As the gate closed, the car picked up speed and tore through the rest of Vegas. Immediately outside the Strip, the buildings were noticeably more dilapidated. Aminta watched as the varied prosperity of the Strip curtailed rapidly into a mess of buildings, barely recognisable as residential or industrial, though they were unmistakably new creations. She almost didn’t notice it at first, but they were all the same. Row after row of buildings with the same geometric exterior, though placed at odd angles to each other, as if a child had been playing with them and haphazardly threw them into where they now stood. As the car moved further and further away from the Strip, lights in these buildings became scarce, and the brickwork became exposed to reveal pipelines and shreds of electrical appliances, some still spitting sparks. When the light of the Strip was nothing more than a flicker of light on the night horizon, the copied buildings were replaced with houses, roofs sagging, walls crumbling. As the car zipped passed, Aminta caught wisps of figures; people moving about the ruins and the darkness like ghosts, until they passed the last house, and all that could be seen was the night sky and desert shrubbery.
ok , I promise not your standard " will this be open?" questions. We're still under Corona Rules, this is known, and literally everything is up in the air in Vegas in regards to what will be available. So, I'm turning 50 this year. As such, my wife and I who pre pandemic were fairly regular Visitors 1-2 times a year for several years running have been staying home, with the exception of one pre craziness trip last June. Realizing afterwards that particular trip was a bad decision, we decided to hold off until Nov of this year for my 50th. We invited a few couples as well, thinking that we would be able to make a group trip of folks, hopefully in a much better corona managed Vegas by then. As it stands we have 6 folks, 3 couples definite, with 3-6 other folks holding off until we see how the virus restrictions are doing in NV. Obviously, we want to start some light planning around hotels, exploring what is needed for group rates if possible, and some other options. Our group is planning 4 nights, 5 days and my wife and I usually stay at the Venetian, but we are open to other upscale venues ( Aria, Cosmo, Wynn ) for the group depending on rates, etc ( We are not opposed to spending money for what is likely our only Trip anywhere in '21, but not all of our friends are financially in the same position we are). With all that said, whats our best path forward? Do we need to try and find a host to help us, and if so, whats the best way of doing so, or is our group too small to even bother with that route? Who would we check with in regards to getting a block of rooms at some of these hotels? As for interests, We are your general type Vegas visitors, We gamble a little (blackjack mostly ) , Like to run the speakeasies ( Mob Museum and 1923lv @ Mandalay are some fun places we like) and some of the signature bars at the casinos ( Elektra/ The Dorsey At Venetian, Vanderpump At Caesars, Lily at Bellagio, Whiskey Down At MGM, etc) not too much into the Nightclubs ( I'm late 40's people, I'm not the Creepy old dude at the club type). And real talk, we want to make this not only a birthday trip to remember for me, but a Trip to remember for our Friends, some of whom have never been to Vegas before, so they don't know what it used to be like, or what they are missing from the Pre COVID days. I'm open to any and all suggestions and advice, and yes, I am fully aware that this all may be a moot point even in November with the COVID unknown still lingering. If it isn't safe, we'll cancel in a heartbeat, but it isn't even October yet, so save the "cancel now and stay home" comment trolls.
